Between the end of the financial year and the date of this report, no item, transaction, or event of a material nature has occurred, in the opinion of the Directors of the Company, that is likely to significantly affect the operations of the Company, the results of those operations, or the state of affairs of the Company.

Contingent liabilities (1)

The Company has given a guarantee in respect of the new Senior Facilities Agreement (SFA) of EM Midco2 Limited, another group company. As at 31 December 2025, the Company along with a number of other group companies has jointly and severally guaranteed $1,817.9 million, secured by a charge on the Company's assets. Security will only be enforceable on the occurrence of an Event of Default as defined by the SFA.
