Events after the year end (2)
- In July 2026 the Company approved a subscription of 10,000,000 A Ordinary shares of $1 each in HSBC Express Finance Data Services Limited, for execution in the second half of 2026. The issuance will be funded by the Company's parent HSBC Holdings plc which will subscribe for 1 Ordinary share of $1 for a consideration of $10m largely to be recognised in the Share premium account.
- In July 2026 the Board approved a deed of termination relating to the Joint Venture Agreement that had been entered into on 13 September 2024 between the Company, HSBC Semfi Limited (‘Semfi’) and Tradeshift Holdings Inc (‘Tradeshift’). Following the execution of the deed of termination on 22 July 2026 the Company’s stake in Semfi increased from 75% to 100% in exchange for the assignment of certain intellectual property rights to Tradeshift with a carrying value of around $8m, resulting in a commensurate estimated impairment of the Company’s investment in Semfi.
